Our Seal of Approval is available by license to Non-profit Organizations, Educational Institutions and For-Profit Companies whose Mission, Activity, Program, Websites, Product or Service is consistent with GEN’s Mission of Empowering K-16 Teachers, Students and Parents to Save Earth’s Climate, Resources and Life.

Our purpose is to recognize and support ANY entity demonstrating to GEN’s satisfaction, beneficial “green” action related to the broad scope of GEN’s Content and Mission.

Ability to Pay is NOT a condition to the grant of a license to display the Green Education Network Seal of Approval. In many cases a license will be granted at NO COST to the licensee. We will consider all factors including who you are and what you do, intended use, scale, environmental value, and more. We will not penalize responsible corporations or companies on the grounds of profit motive or presumed ability to pay. While we attach the utmost value to our good name and reputation, we recognize that you do also. For that reason the maximum fee charged a financially healthy major corporation would be $1,000 for a license commencing in 2009 and expiring Dec 31, 2010.

The requirement applicable to all, including those granted a license at no cost, is simple: Signature to a standard licensing agreement, which states that the Seal is the property of Green Education Network and specifies the terms and conditions of its use by you the licensee. We ask that you provide a link to the page on GEN where we explain why GEN awarded you its Seal of Approval, if you operate a website having links to other websites.

The Step to Obtaining a License is Fast and Easy. Simply email our CEO greghilbert@greeneducationnetwork.com and tell him what you think he needs to know to decide whether to grant you a license, and whether any fee would apply. He may have a question or two for you before or after doing whatever research and consultation with others he judges warranted, but you will not be made to jump through hoops or wait for weeks for a decision and ready-to-sign licensing agreement.

Added Benefits to Green Education Network Seal of Approval licensees. While we must reserve the right to decline a license grant without explanation, licensees are entitled to these frosting-on-the-cake benefits along with files for reproduction of the Seal of Approval (we supply several variations and accompanying logos etc so that you can choose the Seal graphic(s) that work best for your applications): A small qty of embossed gold foil Seals,  Listing on the GEN Seal of Approval page with a link to your site, an article on GEN stating in GEN’s words why you were granted the Seal of approval, with a link to your site and inclusion in our keyword search engine.

Green Education Network Seal of Approval  LICENSE AGREEMENT

Agreement made, effective as of the date of signature by licensee, by and between Green Education Network, P.O. Box 293, East Glastonbury, State of Connecticut 06025 and email address of greghilbert@greeneducationnetwork.com, here referred to as licensor, and _________[name of licensee], of _________[address], City of _________, State of _________, and email address of __________________ here referred to as licensee.

In consideration of the mutual promises contained in this agreement, the parties agree as follows:

GRANT OF LICENSE; DESCRIPTION OF PROPERTY

Licensor grants to licensee a license to characterize via text and to display in its media, subject to all of the terms and conditions of this agreement, the following described and copyrighted trademark property of Green Education Network:  (1) The Green Education Network Gold Foil Seal of Approval, (2) Variants of the Seal of any color or combination of colors supplied by Green Education Network or created by licensee and approved by Green Education Network, (3) Text or Graphics used in conjunction with the foregoing Seal characterizing it as a “Seal of Approval” constituting an endorsement that has been “won by/from”, “awarded to/by”, “earned by/from”, “granted to/by”, “conferred on/by”, “bestowed on/by”, “achieved by/from”, “honored with/by”, “recognition to/by”, “support of/to/from”, “honors awarded to/by”, or “applauded by/applauds from” and all such similar characterizations and variants thereof, (4) such other graphics, logotype, masthead or other materials as Green Education Network may from time to time supply for use incidental to use of its Seal of Approval.

LIMITATION TO DESCRIBED PURPOSE

The above-described property may be used by licensee solely for the purpose of communicating it has been awarded (honored by, etc as above) the Green Education Network Seal of Approval and for incidental purposes related to such purpose during the period beginning the effective date of this License Agreement, and continuing until this agreement is terminated as provided in this License Agreement.

The above described property shall not be used by licensee in a manner that would misrepresent the licensee’s website, blog, email, social network or other medium as itself being Green Education Network or an extension, representative, affiliate, agent or partner of Green Education Network or a Green Education Network website.

LICENSOR OBLIGATION

Green Education Network shall list the licensor on a page on Green Education Network identifying licensee, explaining in terms favorable to licensee why Green Education Network has granted a license to licensee, and providing a link to the licensee’s website, blog, or social network. If licensee’s website, blog or social network provides multiple links to external sites, then it shall provide a link to the foregoing page.

TERM, EXPIRATION, PAYMENT IF ANY

The term of this License Agreement shall commence on the effective date and expire on December 31, 2010. [VERIFY]

For the term expiring as stated above, licensee shall pay licensor for this license $__[if any]_______   ( [if any]     dollars) payable within 10 days of the effective date of this License Agreement.

RIGHT TO TERMINATE PRIOR TO EXPIRATION

Either party may terminate this agreement at any time prior to the expiration date, without regard to payment made, by giving written notice to the other, specifying the date of termination, such notice to be given not less than 30 days prior to the date specified in such notice for the date of termination.

PRO-RATED REFUND OF PAYMENTS ON TERMINATION PRIOR TO EXPIRATION DATE

On any termination of this agreement, licensor shall refund to the licensee the unearned portion of such fee on a pro-rated basis; provided, however, that no refund shall be in an amount less than $10.00.

On any termination of this agreement, licensee shall discontinue all use of the above-described property and shall immediately remove it from all electronic media, and shall remove it from any print media upon re-printing.

GOVERNING LAW

It is agreed that this agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Connecticut.

ENTIRE AGREEMENT

This agreement constitutes the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this agreement shall not be binding on either party except to the extent incorporated in this agreement.

MODIFICATION OF AGREEMENT

Any modification of this agreement or additional obligation assumed by either party in connection with this agreement shall be binding only if evidenced in writing signed by each party or an authorised representative of each party.

NOTICES

Any notice provided for or concerning this agreement shall be in writing or via email and shall be deemed sufficiently given when sent by certified or registered mail if sent to the respective address of each party or acknowledged when sent via email as set forth at the beginning of this agreement.

ASSIGNMENT OF RIGHTS

The rights of each party under this agreement are personal to that party and may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of the other party.

AGREEMENT

In witness, each party to this agreement has caused it to be executed on the date indicated below.
